Terms of Service

1. Acceptance of these Terms

These Terms of Service (the “Terms”) are a binding agreement between you and Neural Prompt Ventures (“Neural Prompt Ventures,” “we,” “us,” or “our”) and govern your access to and use of this website and the services, content, and products we make available through it (collectively, the “Site”). By accessing or using the Site, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference. If you do not agree, do not use the Site.

If you are using the Site on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms, in which case “you” refers to that entity.

2. Our products and services

Neural Prompt Ventures builds AI tools for content creators, including Streamdat, our AI video-clipping and repurposing platform. This Site is primarily an informational and marketing presence. Access to and use of the Streamdat application (including account registration, subscriptions, billing, acceptable use, and the processing of content and personal data) are governed by the separate terms and privacy policy presented within the Streamdat application. In the event of a conflict between these Terms and the Streamdat application terms with respect to the application, the application terms control for that application.

3. Eligibility

You must be at least 18 years of age, or the age of legal majority in your jurisdiction, and able to form a binding contract to use the Site. By using the Site you represent and warrant that you meet these requirements.

4. Acceptable use

You agree not to, and not to permit any third party to:

  • use the Site in violation of any applicable law or regulation;
  • attempt to gain unauthorized access to the Site, its servers, or any related systems or networks;
  • interfere with or disrupt the integrity or performance of the Site, including by introducing malware or launching denial-of-service attacks;
  • scrape, harvest, or collect information from the Site by automated means except as permitted by our published robots directives;
  • reverse engineer, decompile, or attempt to derive the source code of any part of the Site, except to the extent that restriction is prohibited by law; or
  • use the Site to infringe the intellectual property, privacy, or other rights of any person.

5. Intellectual property

The Site and its contents, including text, graphics, logos, designs, and software, are owned by or licensed to Neural Prompt Ventures and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your personal or internal business purposes in accordance with these Terms. All rights not expressly granted are reserved. “Streamdat,” “Neural Prompt Ventures,” and our logos are our trademarks; you may not use them without our prior written permission.

6. Third-party links and services

The Site may contain links to third-party websites, products, or services that we do not own or control, including social media platforms and our payment processor. We provide these links for convenience and are not responsible for the content, policies, or practices of any third party. Your use of third-party services is governed by their own terms and policies.

7. Disclaimers

The Site is provided on an “as is” and “as available” basis without warranties of any kind, whether express, implied, or statutory, including the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Site will be uninterrupted, secure, error-free, or free of harmful components, or that any information on the Site is accurate, complete, or current.

8. Limitation of liability

To the maximum extent permitted by law, Neural Prompt Ventures and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, data, goodwill, or other intangible losses, arising out of or relating to your use of, or inability to use, the Site. To the maximum extent permitted by law, our total liability for all claims relating to the Site will not exceed one hundred U.S. dollars (USD $100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

9. Indemnification

You agree to indemnify and hold harmless Neural Prompt Ventures and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or related to your use of the Site or your violation of these Terms.

10. Changes to the Site and these Terms

We may modify, suspend, or discontinue all or part of the Site at any time. We may also update these Terms from time to time. When we do, we will revise the effective date above. Changes are effective when posted. Your continued use of the Site after changes take effect constitutes acceptance of the revised Terms.

11. Governing law

These Terms are governed by the laws of the State of Florida and applicable United States federal law, without regard to conflict-of-laws principles. You agree to the exclusive jurisdiction of the state and federal courts located in Florida for any dispute that is not subject to arbitration or that is otherwise permitted to be brought in court.
